Pursuant to Section 201(a) of the Jumpstart Our Business Startups Act (the \u201cJOBS Act\u201d), on July 10, 2013, the Securities and Exchange Commission (the \u201cSEC\u201d) approved final rules to eliminate the prohibition on general solicitation and general advertising* in securities offerings conducted pursuant to Rule 506 of Regulation D and Rule 144A under the Securities Act of 1933 (the \u201cSecurities Act\u201d).<\/p>\n

A. Amendment to Rule 506<\/span><\/p>\n

The SEC amended Rule 506 by adding subsection (c), which permits general solicitation and general advertising under the following conditions:<\/p>\n

    \n
  1. \tthe issuer must take reasonable steps to verify that the purchasers of the securities are accredited investors; and<\/li>\n
  2. all of the purchasers of securities are accredited investors either because they fall within one of the categories of persons who are accredited investors under existing Rule 501 or the issuer reasonably believes that they do at the time of the sale of securities.<\/li>\n<\/ol>\n
